Vendor Terms & Rules

Vendors must provide accurate and truthful information when creating a profile. Vendors represent that they have the authority to operate their business and provide the services listed on their profile.

Celebrella is committed to helping hosts discover local businesses that provide products and services for celebrations and special occasions.

Submission of a vendor application does not guarantee acceptance onto the platform.

All vendor applications are subject to review and approval by Celebrella.

To maintain the quality, relevance, and local-first mission of the platform, Celebrella reserves the right, at its sole discretion, to approve, deny, suspend, remove, or request modifications to any vendor profile.

Approval decisions may consider factors including, but not limited to:

• Whether the business aligns with Celebrella's mission and marketplace categories • Whether the business actively serves the geographic areas selected in its profile • Accuracy and completeness of profile information • Quality and relevance of photos, descriptions, and content • Compliance with platform policies and guidelines • Local service availability • Customer experience considerations • Marketplace balance and overall platform quality • Any other factors deemed relevant by Celebrella

Celebrella is not obligated to provide a reason for denying or removing a vendor application or profile.

Celebrella may request additional information or documentation before approving a vendor account.

Approval status may be reviewed periodically to ensure ongoing compliance with platform standards.

Vendors are responsible for maintaining accurate and current information including business details, contact information, social media links, service descriptions, and photos.

Phone Number Privacy Notice: Celebrella strongly recommends that vendors use a dedicated business phone number rather than a personal phone number on their public profile. Any phone number added to a vendor profile will be visible to the public. Vendors may choose to include a personal phone number at their own discretion, but do so at their own risk. Celebrella is not responsible for any unwanted contact or privacy issues resulting from a vendor's choice to display a personal phone number.

By submitting content to Celebrella — including photos, videos, business descriptions, and any other media uploaded to your vendor profile — you grant Celebrella a non-exclusive, royalty-free, worldwide license to display, reproduce, distribute, and promote such content in connection with operating and marketing the platform.

This license expressly includes Celebrella's right to:

• Create and publish CeleStories™ posts featuring your business, using photos and/or videos from your vendor gallery, for marketing, exposure, and promotional purposes • Feature your business in "Celebrella Picks," "Featured Vendor," "Spotlight," or similar curated content — on the platform, in emails, and across Celebrella's social media channels • Use your gallery media to showcase your work to hosts and the broader Celebrella community • Edit, crop, or reformat your content as needed for display across different formats and platforms

Celebrella may create and publish this type of content at its sole discretion, without prior notice to the vendor and without any obligation to compensate the vendor.

Vendors retain ownership of their original content. This license does not transfer ownership of your photos or videos to Celebrella.

If you do not wish to have your content used for Celebrella-created promotional posts, you may contact us at hello@celebrellali.com to opt out. Opting out may affect your profile's eligibility for featured placement and promotional exposure on the platform.

Vendors may not upload, post, or display AI-generated photos, images, videos, or mockups of any kind on their Celebrella profile.\n\nAll photos and videos submitted to Celebrella must represent the vendor's own real, original work — actual events, products, or services that the vendor has personally created or performed.\n\nCelebrella reserves the right, at its sole discretion, to inspect any photo or video for signs of AI generation or artificial manipulation. If Celebrella determines that a photo or video is AI-generated, a mockup, or otherwise does not represent the vendor's authentic work, Celebrella may remove that content from the vendor's profile at any time, with or without prior notice.\n\nRepeated violations of this policy may result in suspension or permanent removal of the vendor's profile from the platform.

Vendors may not post, upload, or display any content that is:\n\n• Sexually explicit, obscene, or pornographic\n• Violent, threatening, or harassing\n• Hateful, discriminatory, or offensive based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic\n• Defamatory, fraudulent, or misleading\n• In violation of any applicable law or third-party rights\n\nCelebrella reserves the right, at its sole discretion, to remove any photo, video, text, or other content that it deems inappropriate, offensive, or in violation of these guidelines — at any time, with or without prior notice.\n\nVendors whose profiles contain prohibited content may be subject to suspension or permanent removal from the platform.

Celebrella may review vendor profiles before they become visible.

Submission of a profile does not guarantee approval, publication, visibility, placement, ranking, promotion, leads, inquiries, bookings, referrals, or continued participation on the platform.

Participation on Celebrella is a privilege and not a right.

Approval of a vendor profile does not create any entitlement to continued participation, visibility, placement, ranking, promotion, leads, inquiries, bookings, referrals, or any other benefit from the platform.

Celebrella reserves the right, at its sole discretion, to determine:

• Which vendor profiles are approved • Which vendor profiles are displayed • How vendor profiles are categorized • How vendor profiles appear in search results • Which vendor profiles are featured, promoted, highlighted, or recommended • Whether a vendor profile remains active on the platform

Celebrella does not guarantee visibility, profile views, customer inquiries, leads, bookings, sales, revenue, or business opportunities.

Vendor placement, search rankings, featured listings, recommendations, and exposure may change at any time without notice.

Celebrella reserves the absolute right, at its sole discretion and for any reason or no reason, to:

• Remove any vendor profile • Suspend any vendor account • Reject any profile submission • Make any profile invisible or unavailable to users • Edit, limit, or remove profile content • Restrict access to platform features

These actions may occur at any time, with or without notice.

Celebrella is not obligated to provide an explanation for profile removal, suspension, rejection, or reduced visibility.

A vendor profile appearing on Celebrella does not constitute an endorsement, certification, guarantee, recommendation, background check, or verification of the vendor.

Celebrella reviews profiles for completeness, quality, and platform standards; however, such review does not constitute verification, certification, endorsement, recommendation, licensing review, background screening, or a guarantee of a vendor's qualifications, services, reliability, or performance.

Users are responsible for conducting their own evaluation before hiring a vendor.

Vendors are solely responsible for their services, customer communications, pricing, contracts, payments, insurance, licenses, permits, and legal compliance.

Celebrella is not a party to agreements between vendors and customers.

By creating a vendor profile, you acknowledge that Celebrella may organize, categorize, optimize, and display listing information for search, discovery, ranking, and platform functionality purposes.

Celebrella may create informational vendor profiles using publicly available business information. These profiles are designated as Unclaimed Profiles until a business owner verifies and claims ownership.

Unclaimed Profiles may include publicly available information such as business name, description, logo, photographs, website, contact information, social media links, and service categories.

Business owners may claim their profile at any time by contacting Celebrella or using the claim link provided in any invitation email. Once claimed, the business owner assumes full control and may edit, replace, remove, or update any information or media on the profile.

If you believe any information, photographs, or other content on an unclaimed profile is inaccurate, outdated, or should not appear on Celebrella, please contact us at hello@celebrellali.com. We will promptly review the request and, when appropriate, update, remove, or replace the content.

Celebrella makes reasonable efforts to ensure accuracy but cannot guarantee the completeness, accuracy, or timeliness of information gathered from publicly available sources.

The inclusion of a business on Celebrella does not imply endorsement, partnership, sponsorship, or affiliation unless explicitly stated.

Celebrella reserves the right to edit, update, remove, or unpublish any profile or content at its sole discretion.

Celebrella respects the intellectual property rights of others and expects vendors and users to do the same.

If you are a copyright owner or authorized agent and believe that content on Celebrella infringes your copyright, you may submit a removal request to:

Your request should include: • A description of the copyrighted work you claim has been infringed • The specific URL(s) where the content appears on Celebrella • Your contact information (name, email, phone number) • A statement of good faith belief that the use is not authorized • A statement, under penalty of perjury, that the information is accurate and you are the copyright owner or authorized agent

Celebrella will review all valid requests and promptly remove or disable access to reported content when appropriate.

Celebrella is provided on an "as-is" and "as-available" basis and shall not be liable for any disputes, losses, damages, claims, lost profits, business interruption, or issues arising from use of the platform.

Celebrella may update these terms at any time. Continued use of the platform constitutes acceptance of any revised terms.
